STANDARD LICENCE AGREEMENT BETWEEN INTERNATIONAL NEWS SERVICES LTD AND ITS CLIENTS

I grant to (the publishing company), the non-exclusive right to re-use work commissioned for publication in (the publication) in all media in all territories for the life of the copyright and all extensions and renewals thereof.

I waive the benefit of any moral rights in such work and agree that you may edit, alter and adapt it.

The work will not be defamatory or in breach of copyright. I confirm that the fees agree represent a buyout and no further sum will be due for any of the uses contemplated by this agreement.

*Specific licences will be agreed with each publication. They may vary according to the jurisdiction of the client

*Material published on the INS archive is made available for reference purposes only. Any commercial use and republication of this material, or extracts thereof, is prohibited without expressed written permission from International News Services Ltd, which retains copyright in all cases.

TERMS AND CONDITIONS FOR THE USE OF THIS WEBSITE AND ITS DATABASE

DEFINITIONS

In the terms and conditions set out here,

"Website" means the website internationalnewsservices.com and its associated static pages and database.

"Electronic device" means a computer, mobile phone, WAP phone, personal digital assistant, or other electronic device capable of accessing the website

"Trade marks" means any of the registered or unregistered trade marks owned by International News Services Ltd, including internationalnewsservices.com, International News Services and International News Services Ltd.

"Microsite" means any page on the website;

INS is the acronym of International News Services, which is also referred to below as "we", "us" and "our." International News Services is published by International News Services Ltd, 45 Mote Avenue, Maidstone, Kent, ME15 7SU , England and is the holding company for any subsidiary that may be formed later. The holding company and any subsidiaries have the meanings given in sections 736 and 736A of the Companies Act 1985.

ACCEPTABLE USE POLICY

Users of the INS website agree to abide by all applicable laws, regulations and codes of conduct and to ensure that any content uploaded or distributed or stored by you does not infringe the rights of others. All material on the website or which relates to the website belongs to our licensors or us. Users may retrieve and display content from the website and make prints on paper for display or archival purposes if this is solely for personal and non-commercial use, unless permission is sought for such commercial use from INS and is received in writing from an INS director.

We, or our licensors, own the copyright and all other intellectual property rights associated with the content published on the website, unless where otherwise stated.

Unless users have prior written permission from an INS director, they may not reproduce the content (other than as described above), modify, or in any way commercially exploit any of the content. They may not redistribute any of the content (including using it as part of any library, archive or similar service), remove any copyright or trade mark notices or create a database in electronic or structured manual form by systematically downloading and storing all and any of the content.

Users acknowledge that we own the trade marks which may not be used without prior written permission from an INS director. Other product and company names and logos mentioned or displayed in the website may be the trade marks, service marks or trading names of third parties.

In accessing the website users agree to the following conditions:

They may not impersonate another person or use a false or unauthorised name or create a false identity or e-mail address or try to mislead others as to the identity or origin of any communications.

They may not modify, access or make available data stored on a computer device which has been accessed through our network (unless specifically permitted by these terms and conditions).

They may not make available or upload files that contain software or other material, data or information that is not owned or licensed by them, or collect information about others without prior consent from an INS director.

They may not damage, interfere with or disrupt access to the website or in any way interrupt or impair its functionality, nor will they make any commercial or business use of the website or resell or commercially benefit from any part or aspect of the website.

They may not falsify the true ownership of software or other material or information contained in files made available via the website;

Users may not publish, post, distribute, disseminate or otherwise transmit defamatory, infringing, offensive, indecent, obscene, or other unlawful or objectionable information or material. They may not threaten, abuse, harass, disrupt, stalk, or otherwise violate the rights (including rights of privacy and publicity) of others. They may not make available, upload or distribute by any means any material or files that contain any viruses, bugs, corrupt data, "worms", "trojan horses", or any other harmful software. They may not obtain or attempt to obtain unauthorised access, through whatever means, to the website, other services or computer systems or areas of our or any of our commercial partners', clients' or customers' networks or set up links from any website they control to any microsite, except to the home page of the website, without written permission from an INS director.

INS retains the absolute right to prevent users from accessing the Website, without prejudice to any of our accrued rights, where we in our reasonable discretion consider they are contravening our acceptable use policy or any other term or condition of these terms and conditions, after we have informed them of their contravention or breach.

It is the users' responsibility to ensure that their use of the website is not contrary to the laws of their country of residence.

LIABILITY

Users will accept that International News Services has no control over third party content and information which can be accessed using its website and that we do not examine or edit the use to which users or others put such information. International News Services is excluded from all liability of any kind arising from such third party content or information, including advertisements. Except for death or personal injury caused by negligent acts or omissions, we shall only be liable to you for any loss or damage arising from your use of the website which is a reasonably foreseeable consequence of a breach by us of these terms and conditions.

International News Services will not be liable for any loss or damage caused by us or our employees or agents in circumstances where we are not at fault for the errors or inaccuracies, or

where the loss or damage is not foreseeable at the time of the user's initial acceptance of these terms and conditions or where the loss or damage is a business loss or the losses were caused in the course of business, including losses relating to lost data, lost profits or business interruption.

International News Services does not accept any responsibility for the electronic services which users may use to access the website, or for the security of such devices. Users will be responsible for the security of their own computer system, and the transfer of any information from their computer system. We do not accept responsibility for the loss or corruption of any material in transit or when downloaded onto any computer systems.

Where we are liable to users for any loss or damages, we will not be liable for any increase in loss or damage resulting from a breach by users of any of these terms and conditions.

International News Services makes no representations or warranties of any kind as to the website or its content, nor as to the accuracy, completeness or suitability for any purpose of the content published on the website. Any liability, however it occurs, for any such inaccuracies or errors is expressly excluded to the fullest extent permitted by law.

Users agree to indemnify any of our officers, employees and agents from all and any expenses, losses, liabilities, damages, costs or expenses incurred and any claims or legal proceedings which are brought or threatened, arising from their use of, or conduct on, the website and/or a breach of the acceptable use policy

The website may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the website complies with applicable laws, codes and regulations. We exclude to the fullest extent permitted by law any responsibility for any error or inaccuracy appearing in any advertising or sponsorship material. It is possible that these third party advertisers may download cookies to your computer. We cannot control nor do we have access to any cookies placed on your computer by third party advertisers and sponsors.

Users' dealings with any third parties, in particular advertisers and/or merchants, via the Website, and any terms or conditions agreed with, or representations given by, such third parties, are solely between users and such third parties. Users agree that we are not liable for such dealings, and that users will be liable for any costs or damages that we incur as a result.

International News Services is not responsible for any technical or other issues that may arise if users download software from an external third party website or upgrade browser software to enhance usage of the website.

Possible Changes and Termination

International News Services reserves the right to change any part of its website and its terms and conditions. We may prevent provision of the website or restrict access to it without prior notice there may be a regulatory or statutory change limiting our ability to provide a website, where an event beyond our reasonable control prevents us from continuing to provide a website or we consider that users are abusing the service or otherwise acting in breach of these terms and conditions and have been notified of the abuse or breach.

English Law

International News Services operates in accordance with English law and it is agreed that the courts of England shall have exclusive jurisdiction to settle any dispute arising from the terms and conditions. International News Services retains the right to bring an action in any court including, if appropriate, the courts of a user's country of residence or principal place of business.

Users may not assign, sub-license or otherwise transfer any of his or her rights under the terms and conditions without our agreement, which will not be refused without good reason. If any part of the terms and conditions is found invalid by any court having competent jurisdiction the validity of the remaining terms will be unaffected. If either party does not exercise any right or remedy under these terms and conditions, this will not be taken to mean that they have been waived.
